This Game May Not Be Used To Conduct, Advertise Or Promote Any Form Of Gambling.

Eligibility

NBA Stock Exchange Game ("Game") is open to legal residents (natural persons only) of the 50 United States, the District of Columbia, and Canada (excluding residents of Quebec) who are 13 years of age or older as of 9/20/07 ("Participants"). Eligible minors must obtain their parent's or legal guardian's consent prior to participation. Officers, directors, employees and agents of NBA Media Ventures, LLC ("Sponsor"), NBA Properties, Inc., the National Basketball Association and its member teams, and each of their respective parent companies, subsidiaries, affiliates, officers, directors, governors, shareholders, owners, distributors, retailers, advertising/promotion agencies and Project Support Team, Inc. ("P/S/T") (collectively, "Released Parties"), and the immediate family members (parent, spouse, sibling or child, regardless of where they reside) and those living in the same household of each, whether or not related, are not eligible to participate or win a prize. Game is subject to all applicable federal, state, provincial, and local laws.

Promotion Period

Registration for the Game will begin at 3:00:00PM Eastern Time ("ET") on 9/20/07 and continues through the end of the Promotion Period (as defined below). The Game will begin on 10/30/07 and end on or about 4/16/08, which end date is subject to change dependent upon the NBA schedule (the "Promotion Period"). The Promotion Period starts at 3:00:00PM ET on 10/30/07 and ends prior to the final buzzer of the last game on 4/16/08 (subject to change as stated above). The Game and participation in the Game are subject to the Official Rules, and all applicable federal, state, provincial and local laws. All entries become the property of Sponsor and will not be acknowledged or returned. The Game includes all NBA games of the of the 2007-2008 regular season, from the tip-off of the first regular season game on 10/30/07 to the final buzzer of the last regular season game on 4/16/08.

To Participate

(1) Visit www.NBA.com during the Promotion Period. You must register before participating in this Game. Registration is free, as is participation in this Game. To register, complete the User Registration form according to the instructions provided. As part of the registration process, you will be asked if you wish to receive promotional emails from the NBA. Consenting to receive promotional emails is optional and is not required for membership or participation in this Game. Upon completion of the registration process, you may link to the Game Play page using your newly designated user name and password to participate in the Game. The use of any device to automate the registration process is prohibited and all such registration form submissions are void. Registration form submissions will be accepted throughout the Promotion Period, in accordance with the terms of these Official Rules.

(2) Visit the Game Play page where you will be given a designated amount of fantasy dollars (these fantasy dollars have no monetary value) to build the best basketball team you can afford. Participants will have the option to draft 9 different players (1 of each of the following PG/SG/G/SF/PF/F/FC/C/UTL). To assemble your team, follow the instructions provided. Throughout the season you will have the opportunity to sell your athletes and buy new ones on the trading floor. You will also have the opportunity to join various leagues. (3) All lineups must be accepted and acknowledged by the computer servers by the applicable deadline to be considered valid and eligible.

Released Parties are not responsible for lost, late, garbled, misdirected, inaccurate, incomplete, delayed, stolen or undelivered entries, team selections, trades, points, fantasy dollars, sales or registration form submissions; any incorrect or inaccurate information, whether caused by Web site users or by any of the equipment or programming associated with the Game or by any computer, network, technical, human or other error that may occur in administration of the Game, the processing of entries, team selections, trades, sales or registration form submissions in the Game, the tabulation of points or fantasy dollars or the compilation of teams, or the selection of the winners; any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, telephones, software, or hardware, failure of email on account of technical problems or traffic congestion on the Internet or at any Web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Game; any error, omission, interruption, deletion, defect, delay in operation or transmission, or the theft, destruction or alteration of entries or other materials; typographical, printing or other errors in these Official Rules, in any Game-related advertisements or other materials or announcement of potential winners or the distribution of prizes; the cancellation, suspension, preemption or postponement of any NBA games or injuries or other unavailability of players, during the Game; or other problems or errors of any kind relating to or in connection with the Game whether mechanical, human, electronic, network or otherwise. Fantasy dollars have no cash value and are not redeemable for cash or transferable.

Scoring System

Each Participant's NBA Stock Exchange Points ("NSEP") for the Game are awarded based on how Participant's selected players play in real-life NBA basketball games over the course of the 2007-08 regular NBA season. For scoring format please visit nbase.nba.com.

Winner Selection/Notification

Potential winners will be determined on or about 5/14/08. If you are a participant in one of the designated Celebrity Leagues you will have the opportunity to win a Celebrity League Grand Prize. (1) Celebrity League Grand Prize will be available to be awarded to the Participants who accumulate the highest number NSEP, as determined by Sponsor in its sole discretion, for the entire Promotion Period. For the months of November, December, January, February, & March (1) Monthly Prize and (9) Runner Up Prizes will be available to be awarded to the Participants who accumulate the highest number NSEP each full month of the Promotion, as determined by Sponsor in its sole discretion, for a total of (5) Monthly Prizes and (45) Runner Up Prizes. In the event ties exist at any prize level, ties will be resolved as follows: Tiebreaker 1: Individual with the most Fantasy Dollars at the conclusion of the Game: Roster Value + Remaining Cash, as determined by Sponsor. Tiebreaker 2: Individual with the highest cumulative single week point total during the Game (Monday through Sunday), as determined by Sponsor. Tiebreaker 3: Individual with the second highest cumulative single week point total during the Game (Monday through Sunday), as determined by Sponsor. This process will continue until a potential winner is chosen. The tabulation of NSEP and identification of potential winners will be conducted by Sponsor and judges whose decisions are final and binding with respect to these Official Rules and in all other matters relating to this Game. Prizes will be awarded to the person named on the applicable www.NBA.com registration form regardless of whether that is the name of the authorized account holder of the email address from which said www.NBA.com registration form was submitted (subject to verification of eligibility and compliance with the terms of these Official Rules). Potential winners will be notified by email, phone or mail. Limit one prize per person, family or household.

Prizes

Celebrity League Grand Prizes/(1) Per Celebrity League: A prize package consisting of: (1) $1,000 NBA Store Gift Certificate, (2) tickets to a 2008-09 NBA game closest to the winner's residence, and a phone call from the former NBA player that headed up the respective celebrity league (Approximate Retail Value "ARV"=$1,150US). In order to accept the call from the former NBA player winner must have access to a phone, and must be available at a date and time to be determined by Sponsor. Sponsor is not responsible for any phone or phone line problems that may prevent the former NBA player from calling or impair the call in any way. Gift Certificates subject to certain terms and conditions. Restrictions may apply. (5) Monthly Prizes/(1) For each of the following months November, December, January, February, & March: (1) NBA Live 2008 video game, (1) NBA 2k8 video game, and (1) Sony PS3 video game system (ARV=$580US). (45) Runner-Up Prizes/(9) Per Month: (1) NBA-related video game (determined by Sponsor) (ARV=$39.95US). Total Maximum ARV of all prizes=$8,147.75US. All prize details are at Sponsor's sole discretion.

Miscellaneous

No transfer, assignment, cash redemption, or substitution of prizes (or portion thereof) except by Sponsor who reserves the right to substitute a prize (or applicable portion thereof) of comparable or greater value (except as otherwise provided above), at its sole discretion. Prizes are awarded "as is" with no warranty or guarantee, either express or implied by Sponsor. Federal, state, provincial, and local taxes, including withholding taxes, and all other costs and expenses associated with the acceptance and use of any prize not specified herein as being awarded are winners' sole responsibility. If an eligible minor is selected as a winner, prize will be awarded in the name of said minor's parent or legal guardian and such parent/legal guardian will be required to fulfill all requirements imposed on winners set forth herein. Celebrity League Grand Prize winners (if minor, his/her parent or legal guardian) will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release within five days of issuance of notification. Non-compliance with any of the foregoing or with these Official Rules may result in disqualification and awarding of prize to the runner up at Sponsor's sole discretion. If any prize notification letter or prize is returned as undeliverable, winner will be disqualified and, at Sponsor's discretion, a runner up may be notified. Sponsor, in its sole discretion, reserves the right to: 1.) disqualify any person who tampers with the entry process (and void his/her points), the operation of NBA.com, or any other component of this Game, or who is otherwise in violation of these Official Rules and 2.) modify, suspend or terminate this Game should virus, bugs, non-authorized human intervention or other causes, including but not limited to war, strikes, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of this Game or if the season is cancelled for any reason and, in the event of termination, at its discretion, award prizes from among all eligible non-suspect entries received as of the event requiring such termination using the scoring procedures set forth above. The use of any automated entry device is prohibited and all such entries or points received are void. By participating, Participants (if minor, his/her parent or legal guardian) agree to be bound by these Official Rules and agree that: 1.) Sponsor and its designees and assigns may use (unless prohibited by law) such Participant's name, city/state of residence, photograph and/or likeness for advertising and/or trade purposes and/or for the purpose of posting his/her name and NSEP total on NBA.com or on any NBA telecast and/or for any other purpose in any media or format now or hereafter known throughout the world in perpetuity without further compensation, permission or notification and 2.) Released Parties shall have no liability and will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury to Participant or any other person or death or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of any prize or participation in this Game.
